General Terms and Conditions of Sale

1. General provisions

These general terms and conditions concern the sale of Products and the provision of Services offered by CONCRIT to the CLIENT, unless otherwise expressly agreed in the Specific Conditions. By ordering Services or Products from CONCRIT, the CLIENT unreservedly accepts these general terms and conditions of sale, which prevail over any other document from the CLIENT, including its own General Purchasing Conditions. If one or more clauses of this Contract are held to be invalid, the other clauses shall retain their full force and validity.

2. Intellectual property

Each Party retains ownership of its Own Knowledge and all Intellectual Property Rights held prior to the date of signing the Contract. For the purposes of executing the Contract, CONCRIT and the CLIENT mutually grant each other a free, non-exclusive right of use. Unless expressly stipulated otherwise in the Specific Conditions, all Intellectual Property Rights developed by CONCRIT during the execution of this Contract shall remain the exclusive property of CONCRIT. The client guarantees having acquired the reproduction rights for texts, documents, plans or photos given to us for reproduction.

3. Confidentiality

Documents, data, know-how, technologies, product specifications, manufacturing processes, prototypes, models, plans, drawings, and/or economic information (hereinafter "Confidential Information") transmitted by one Party to the other in the context of the Contract must be protected and kept strictly confidential for a period of 5 (five) years from the date of disclosure. The Parties are required to take all necessary measures to ensure the secrecy and confidentiality of the Confidential Information.

4. Commercial reference

Any communication or publication relating to the Deliverables must be accompanied by the VIZION logo as provided by CONCRIT. CONCRIT shall have full freedom to reproduce, publish and distribute the Deliverables on any medium. Unless expressly stipulated otherwise, the CLIENT authorizes CONCRIT (under the VIZION banner) to cite its name as a commercial reference.

5. Delivery – Conformity

Unless otherwise stipulated, CONCRIT is deemed to have fulfilled its delivery obligation on the date of download of the Deliverables by the CLIENT. The conformity of the Deliverables to the Specifications must be verified by the CLIENT before downloading. Any claim not raised prior to download shall be null and void.

6. Deadlines

The deadlines mentioned by CONCRIT are indicative. CONCRIT cannot be held liable in the event of delay. Any delay caused by the CLIENT shall result in a deferred delivery date at least equal to the delay caused by the CLIENT.

7. Modifications

The price includes 1 round of corrections; the CLIENT shall provide all comments in a grouped manner and in the same document. Any additional round of corrections shall give rise to a budget supplement calculated according to the nature and quantity of additional work.

8. Price

Products and Services will be invoiced according to the terms provided in the Specific Conditions. Prices are valid for one (1) month from the date of issue. The cancellation of any order prior to any start of execution will AUTOMATICALLY give rise to payment of a penalty of 50% of the order value.

9. Payment

Any order will be confirmed upon receipt by CONCRIT of a deposit equivalent to 50% of the total amount excluding VAT. Prices are payable in euros (EUR) by bank transfer within thirty (30) days of the invoice date. The transfer of ownership of the Deliverables is suspended until full payment. Late payment penalties are set at three times the legal interest rate. In addition, the unpaid amount will be increased by a fixed indemnity of 15% with a minimum of EUR 50.

10. Warranties

Given the nature of the Deliverables, CONCRIT is bound by an obligation of means. To assert its rights, the CLIENT must inform CONCRIT by registered letter within fifteen (15) days of discovery. CONCRIT will rectify the defects found or replace the defective Products at its exclusive expense.

11. Liability

The CLIENT remains solely responsible for the adequacy of the Deliverables to its needs. CONCRIT shall not be liable for damages resulting directly or indirectly from the use, purchase or resale of the Deliverables.

12. Non-solicitation

The CLIENT expressly agrees not to solicit or employ any member of CONCRIT's staff during the Contract and for one year after termination. In the event of non-compliance, the CLIENT shall pay an indemnity equal to six times the last gross monthly salary of the person solicited, plus all recruitment costs.

13. Force majeure

In the event of force majeure, the Parties will consult to adjust the terms of the Contract. Cases of force majeure include: • Computer failure; • Network coverage failure; • Any unforeseeable, irresistible event external to the Parties. Failing agreement within thirty (30) days, the Contract shall be terminated by operation of law.

14. Applicable law and jurisdiction

All relations between CONCRIT and the CLIENT are governed by Belgian Law. The United Nations Convention on Contracts for the International Sale of Goods (Vienna, 11 April 1980) shall not apply. Any dispute shall be brought before the Commercial Court of Liège.

15. General purchasing conditions

Any derogation will be the subject of a written agreement. Goods travel at the risk of the seller. We reserve the right to return non-compliant deliveries. We pay invoices at 60 days net end of month. We do not accept cash on delivery. Any dispute shall fall within the jurisdiction of the Commercial Court of Liège.
